• Using the Service for lawful business purposes


2. Description of Service

All Star Acquisition provides:
• A CRM platform for managing leads and customers
• A twenty four seven virtual receptionist service
• Automated text and email follow-up
• Online booking funnels
• Call tracking and ROI reporting
• Additional marketing and automation tools

Features may evolve over time as we improve the platform.


3. Account Registration

When creating an account, you agree to:
• Provide accurate, complete information
• Maintain the security of your login credentials
• Notify us immediately of unauthorized access
• Not share your account with unapproved users

You are responsible for all activity that occurs under your account.


4. Use of the Service

You agree NOT to:
• Use the Service for unlawful purposes
• Send spam, unsolicited messages, or abusive content
• Violate telecommunication laws (TCPA compliance is your responsibility)
• Upload harmful code or attempt to disrupt the system
• Resell, lease, or duplicate our platform without permission

We reserve the right to suspend access if abuse is detected.


5. Customer Data & Input

You may upload customer information, including:
• Names
• Phone numbers
• Email addresses
• Service details
• Call logs
• Bookings

By submitting data, you confirm that:
• You have permission to use that customer data
• You comply with applicable privacy and communication laws
• You authorize us to process data to provide the Service

You retain ownership of your customer data.
We do not sell or rent your information.


6. Communication Consent

Our Service may send SMS, email, or automated messages on your behalf.
You are responsible for:

• Ensuring your customers consent to communication
• Complying with local and federal messaging regulations
• Notifying your customers about call recording (if required in your state)


7. Payment Terms

Monthly Subscription
All Star Acquisition operates on a monthly subscription model billed at the rate provided during checkout.

No Contracts
Subscriptions are month to month unless otherwise stated.

Cancellation
You may cancel anytime before your next billing date.
Access remains active until the end of the current billing cycle.
No proration or partial refunds are provided unless specified in a promotion.

Refunds
Refunds are only available if covered by a specific offer or guarantee.
Default policy: All payments are final.

Failed Payments
If a payment fails, we may:
• Retry the charge
• Suspend access to your account
• Terminate your subscription


8. Virtual Receptionist Disclaimer

Our receptionists follow your instructions, scripts, and preferences, but you acknowledge that:
• Receptionists may not always capture 100 percent of information
• Call quality or availability may vary depending on carriers and phone systems
• We are not liable for missed leads, miscommunications, or lost revenue

You are responsible for monitoring call logs and performance.


9. Service Availability

We aim to provide continuous, reliable access, but we do not guarantee:
• Uninterrupted service
• Error-free operation
• Zero downtime or maintenance interruptions

We may modify, suspend, or discontinue features with notice when possible.


10. Third-Party Services

We may use third-party providers for:
• Payment processing
• Hosting
• SMS services
• Call routing
• Data storage

By using the Service, you agree to those providers’ terms as well.

We are not responsible for outages or issues caused by third-party systems.


11. Intellectual Property

All Star Acquisition owns:
• Software
• Branding
• Logos
• Designs
• Documentation
• Training materials
• Scripts
• Processes

You may not copy, distribute, modify, or reverse-engineer any part of the Service.


12. Termination

We may suspend or terminate your account if:
• You violate these Terms
• Your payment fails repeatedly
• You misuse the Service
• You engage in fraudulent or harmful activities

Upon termination:
• Your access ends
• We may delete data after a reasonable period
• You remain responsible for any outstanding charges


13. Limitation of Liability

To the fullest extent permitted by law:
We are not liable for any indirect, incidental, special, or consequential damages, including:
• Lost revenue
• Lost leads
• Missed calls
• Business interruption
• Data loss

Our maximum liability is limited to the amount you paid us in the last 30 days.


14. Indemnification

You agree to defend and hold harmless All Star Acquisition from:
• Claims arising from your use of the Service
• Violations of laws, including communication regulations
• Disputes with your own customers
• Data entered into the system by you or your staff


15. Governing Law

These Terms are governed by the laws of the state in which All Star Acquisition operates, without regard to conflict-of-law principles.

Any disputes may be resolved in state or federal courts located in our operating jurisdiction.


16. Changes to These Terms

We may update these Terms at any time.
Changes will be posted on this page with a new “Last Updated” date.

Continued use of the Service indicates acceptance of the revised Terms.
